Terms of Service

1. Who we are and what this agreement covers

Certquill is operated by Zentez Solutions Private Limited, a company registered in India (“Certquill,” “we,” “us”). These Terms of Service (“Terms”) govern your access to and use of certquill.zentez.io and the Certquill application (together, the “Service”), whether as a signed-in account holder (an “Issuer”), a visitor to the free tools, or a recipient viewing a verification page. By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. Accounts and eligibility

You must provide accurate account information and be legally able to enter a binding contract in your jurisdiction. You're responsible for activity under your account and for keeping your login credentials and any API keys confidential. Notify us immediately at support@zentez.io if you suspect unauthorised access.

3. Plans, billing and Dodo Payments

  • Certquill offers a Free plan and paid subscription plans (Starter, Pro, Business), plus pay-as-you-go credit packs. Current pricing is published on our pricing page and is part of these Terms by reference.
  • All payments are processed by Dodo Payments, acting as merchant of record. Your payment contract and tax invoice for any purchase are with Dodo Payments, not directly with Zentez Solutions Private Limited. Dodo Payments handles currency conversion, local payment methods and applicable tax collection.
  • Subscriptions renew automatically each billing period until cancelled. You may cancel anytime from your account settings; cancellation takes effect at the end of the current billing period, and you retain access and any remaining plan allowance until then.
  • We do not provide pro-rated refunds for the unused portion of a billing period, except where required by applicable law. See our refund policy for credit-pack refund terms.
  • Credit packs never expire and are not tied to a billing period.
  • Certificates issued on the Free plan's monthly allowance carry a “Made with Certquill” footer. Certificates issued on a paid plan, or using purchased pack credits (even on a Free account), do not carry this footer.
  • We may change plan pricing or allowances prospectively, with notice for existing subscribers before the change takes effect on their next renewal.

4. Your content and certificate data

You retain ownership of the content you upload — recipient lists, logos, signature images, wording and design choices (“Issuer Content”). You grant us a limited licence to host, process and transmit Issuer Content solely to provide the Service (rendering certificates, sending emails, hosting verification pages). You represent that you have the right to submit recipient data and to send each recipient the resulting certificate email.

5. Acceptable use

You agree to our Acceptable Use Policy, which prohibits sending certificates to people who don't expect them, using purchased or scraped contact lists, issuing misleading or fraudulent credentials, and other abusive behaviour. We may suspend or terminate accounts that violate it, including for excessive spam complaints or bounce rates.

6. Verification pages and revocation

Certificates you issue get a public verification page and, on paid plans, can be revoked. Revoking a certificate updates its verification page immediately and disables its PDF download; it does not delete the underlying record, which we retain for audit purposes per our Privacy Policy.

7. API use

If you use the Certquill API, you're additionally bound by the rate limits, authentication requirements and idempotency behaviour described in our API documentation. API keys are your responsibility to secure; we are not liable for actions taken by anyone who obtains your key through your own negligence.

8. Intellectual property

The Service, including its software, templates, and branding, is owned by Zentez Solutions Private Limited or our licensors. Nothing in these Terms transfers any Certquill intellectual property to you beyond the limited right to use the Service as intended.

9. Disclaimers

The Service is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant the Service will be uninterrupted or error-free. A certificate verification page confirms that a record exists and its current status — it does not independently verify the truth of the underlying credential claim, which remains the Issuer's responsibility.

10. Limitation of liability

To the maximum extent permitted by law, Zentez Solutions Private Limited will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or 100 USD if you're on the Free plan.

11. Indemnification

You agree to indemnify and hold Zentez Solutions Private Limited harmless from claims arising from your Issuer Content, your violation of these Terms or the Acceptable Use Policy, or your violation of any third party's rights (including a certificate recipient's data protection rights).

12. Termination

You may close your account at any time from settings, or by emailing support@zentez.io. We may suspend or terminate your account for violation of these Terms, the Acceptable Use Policy, or non-payment, with notice where practicable. Sections that by their nature should survive termination (billing obligations already incurred, intellectual property, disclaimers, limitation of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or an in-product notice before they take effect. Continued use of the Service after a change takes effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts located in India, except where local consumer-protection law requires otherwise.
